1. Acceptance of Terms

By accessing and using GovSignal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you may not use the Service. These Terms constitute the entire agreement between you and GovSignal regarding your use of the Service and supersede all prior negotiations, representations, and agreements, whether written or oral.

2. Description of Service

GovSignal is a web-based platform that provides governmental and regulatory intelligence, analysis, and tracking services. The Service aggregates publicly available government data, regulatory filings, policy announcements, and related information to assist users in monitoring regulatory developments and governmental activities. GovSignal offers tiered subscription plans—Scout, Analyst, and Enterprise—each providing varying levels of access to intelligence reports, monitoring tools, historical data, and analytical resources.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account. You must notify GovSignal immediately of any unauthorized use of your account or any other breach of security.

3.2 Account Eligibility

You must be at least 18 years of age to use the Service. By using GovSignal, you represent and warrant that you have the legal authority to enter into this agreement and that you are not prohibited by law from using the Service.

3.3 Account Termination

GovSignal reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service immediately ceases. You remain liable for all charges incurred prior to termination.

4. Payment Terms

4.1 Subscription Plans

GovSignal offers the following subscription tiers:

4.2 Billing Cycle

All subscription plans are billed on a monthly recurring basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel beforehand. You authorize GovSignal to charge your payment method on file for all recurring subscription fees.

4.3 Payment Method

You agree to provide accurate payment information and authorize GovSignal to charge your payment method for all fees and charges incurred. If payment fails, we will attempt to recharge your account. If payment continues to fail, your access to the Service may be suspended or terminated.

4.4 Price Changes

GovSignal reserves the right to modify subscription pricing at any time. We will provide you with at least 30 days' notice of any price increase before it becomes effective. If you do not agree to a price increase, you may cancel your subscription within the 30-day notice period without penalty.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@govsignal.co. Cancellation takes effect at the end of your current billing cycle. No refund or credit will be issued for the current billing period, and you will retain access to the Service through the end of that period. After cancellation, you will not be charged for future billing cycles.

4.6 Refund Policy

GovSignal operates on a no-refund policy for paid subscription fees, except as required by law. You will not receive refunds or credits for partial months of service, unused features, or downgrades. In cases where GovSignal terminates your account due to your violation of these Terms, you will not receive a refund of any prepaid fees. If you believe you are entitled to an exception, contact support@govsignal.co within 14 days of the charge for consideration.

4.7 Taxes

You are responsible for all applicable taxes related to your use of the Service. GovSignal will collect and remit sales tax where required by law. Your invoice will reflect any applicable taxes.

5. Intellectual Property Rights

5.1 GovSignal Intellectual Property

All content, features, functionality, design, graphics, text, data, and materials on GovSignal, including but not limited to reports, analysis, alerts, algorithms, and underlying infrastructure, are the exclusive property of GovSignal or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You retain no ownership or intellectual property rights to any of this material.

5.2 Limited License

Subject to your compliance with these Terms, GovSignal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only. This license does not permit you to modify, copy, distribute, transmit, display, or create derivative works of any Service content without GovSignal's prior written consent.

5.3 Third-Party Content

The Service may contain links to or incorporate publicly available government data, regulatory filings, and other third-party content. GovSignal does not own or control this third-party content. Use of such content is subject to the intellectual property rights and terms of service of the original source.

6.1 Disclaimer of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GOVSIGNAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF GOVSIGNAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.2 Cap on Liability

EXCEPT AS PROVIDED IN SECTION 6.4, THE MAXIMUM AGGREGATE LIABILITY OF GOVSIGNAL TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO GOVSIGNAL IN THE 12 MONTHS PRECEDING THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, YOUR SOLE REMEDY SHALL BE TERMINATION OF YOUR ACCOUNT.

6.3 Exclusions

Some jurisdictions do not allow the exclusion or limitation of certain damages. If applicable law prohibits the full exclusion of liability as stated in Sections 6.1 and 6.2, GovSignal's liability will be limited to the maximum extent permitted by law.

GOVSIGNAL DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. GOVSIGNAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR MALICIOUS CODE.

7.2 Data Accuracy and Completeness

While GovSignal strives to provide accurate and timely information, we do not guarantee the accuracy, completeness, reliability, or timeliness of any data, analysis, or reports provided through the Service. Government data, regulatory filings, and policy information are sourced from public records and are subject to change. GovSignal is not responsible for errors, omissions, or delays in the data or analysis provided.

GovSignal explicitly disclaims that the Service provides legal, financial, regulatory, investment, tax, or other professional advice. The Service is provided for informational and monitoring purposes only. Information and analysis on GovSignal should not be construed as professional recommendations or counsel. You should not rely on the Service as a substitute for consultation with qualified legal, financial, compliance, or other professional advisors specific to your situation.

7.4 Entertainment and Informational Use

The Service is intended for informational and entertainment purposes, as well as monitoring governmental and regulatory activity. GovSignal strives to maintain continuous availability of the Service but does not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen technical issues.

12.2 No Liability for Interruptions

GovSignal shall not be liable for any unavailability, downtime, interruptions, data loss, or service degradation that may occur. You acknowledge that temporary interruptions of service are inevitable and accept the risk of service unavailability.

The Service and the underlying technology may be subject to export control laws and regulations, including the U.S. Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). You agree not to export, re-export, or transfer the Service to any prohibited countries or entities, or for any prohibited end-uses, without proper authorization from the U.S. government.

14. Governing Law and Jurisdiction

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

14.2 Dispute Resolution

Any legal action or proceeding relating to these Terms or your use of the Service shall be exclusively brought in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.

14.3 Binding Arbitration (Optional)

Notwithstanding Section 14.2, either party may elect binding arbitration for any dispute. If arbitration is elected, the dispute shall be resolved by a single neutral arbitrator under the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. Each party shall bear its own costs unless the arbitrator determines otherwise.

15. Changes to Terms of Service

15.1 Right to Modify

GovSignal reserves the right to modify these Terms at any time. Modifications become effective immediately upon posting to the GovSignal website. Your continued use of the Service after posting of modified Terms constitutes your acceptance of the changes.

15.2 Notice of Material Changes

For material changes to these Terms, GovSignal will provide you with at least 30 days' prior written notice via email or through the Service. If you do not agree to the modified Terms, you may terminate your account by canceling your subscription.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and GovSignal regarding your use of the Service and supersede all prior negotiations, understandings, and agreements, whether written or oral.

18. Waiver

The failure of GovSignal to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by GovSignal to be effective.
